Classic Car & Truck Club of Beaufort Bylaws
Article I
Name
This entity shall be known as the Classic Car & Truck Club of Beaufort , a nonprofit organization,
and hereafter referred to as the Club.
Article II
Identity and Objectives
Section 2.1 The Club is an organization of hobby enthusiasts united for the purpose of restoring, maintaining, and driving four wheeled (or more) cars and trucks of classic and antique vintage. For the purposes of Club business, these vintages are defined as being of twenty or more years of age, or if a kit or replica, purporting to be of twenty years or more of age. The Club will conduct its business in a manner that will earn acceptance, approval, and respect from the communities it serves.
Section 2.2 To promote the enjoyment and preservation of all automobiles and to bring the owners and those interested together through a common interest. To create fellowship and a family atmosphere through the ownership, maintenance and driving of antique and classic vehicles.
Section 2.3 To freely exchange ideas and information between individual members of the Club and with other clubs in the Low Country and Coastal Empire organized for similar purposes.
Section 2.4 To promote civic and charitable activities.
Article III
Membership and Dues
Section 3.1 Any applicant wishing to join the Club shall be of legal driving age, having been granted a full driver's license for the state in which he/she resides.
Section 3.2 While ownership of a classic car or truck as described above is not required for joining the Club, it is expected that any applicant doing so is anticipating acquiring such a vehicle within one year of becoming a member.
Section 3.3 Dues shall be $25.00 annually, payable on the anniversary of joining the Club as determined by the Secretary.
Section 3.4 Any single membership shall be considered both individual and family inclusive, regardless of the number of vehicles conforming to the requisites stated in section 2.1. For the purposes of conducting Club business, there shall be one vote per membership.
Section 3.5 If other individuals of a family membership wish to gain voting privileges, they must subscribe as an additional member to the Club, and provide proof of ownership of the vehicle to be identified with their membership.
Section 3.6 Special membership considerations. The general membership of the Club shall be empowered, upon recommendation of the Executive Committee, to create additional
membership categories (Honorary, Lifetime, etc.) on a case by case basis. Such memberships shall have full voting privileges and be exempt from annual dues.
Section 3.7 The Club does not discriminate against any individual or other club on the basis of race, color, or religion.
Section 3.8 It shall be understood and required that any prospective member, by applying their signature to an application for membership in the Club, agrees to display their vehicle(s) at Club sponsored shows in the Club corral reserved for this purpose. In so doing, the prospective member will decline entering his vehicle(s) in competition at any Club sponsored show for the purpose of competing for or winning any award/trophy in any category which may be offered. However, the above shall not be so construed as to prevent the Club from creating a category or categories honoring member's vehicles in said corral on an event-by-event basis, provided that it is the desire of the membership to do so, as managed by the duly appointed committee for a given event. Article IV
Officers
Section 4.1 The elected officers of the Club shall be President, Vice President, Secretary, and Treasurer. An Executive Committee, comprised of the current officers and the immediate past president, shall meet as needed for the purpose of setting the agenda and making recommendations and proposals to be submitted to the Club membership at regular meetings. Any actions or decisions of the Executive Committee that have direct effect on the general membership shall be decided by a majority vote of the general membership.
Section 4.2 The President shall be the Chief Executive Officer and spokesperson of the Club. It will be his/her responsibility to preside over Club programs, meetings, functions, and the appointment of necessary committees.
Section 4.3 The Vice President shall assist the President in his duties and presides in absence of the President.
Section 4.4 The Treasurer shall accept, deposit, and make disbursement of all Club funds and the recording of those transactions. All contracts, checks, drafts, notes, and other orders for payment of money shall be signed in the name of the Club by the Treasurer or the President. The Treasurer shall give a verbal financial report at monthly meetings.
Section 4.5 The Secretary shall keep the minutes of all meetings and maintain membership and attendance records. Additionally, the Secretary shall be responsible for maintaining the Club website and calendar.
Article V
Elections and Voting Procedures
Section 5.1 Each membership shall have one vote. A quorum shall be defined as simple majority of voting members in good standing. As regards the Executive Committee, three
of the four regular officers present shall constitute a quorum.
Section 5.2 Nominations for office shall take place in January/February of the new calendar year, with solicitation of volunteers for all positions to be sought first. Term of office shall be one year for Vice President who will succeed the President the following year, and two years for the Secretary and Treasurer, or as mutually agreed upon by outgoing and incoming officers. [Section 5.2, second sentence, was amended by vote of members on April 6, 2010.]
Section 5.3 Special Elections will be held in the event any office becomes vacant. Nominations will be opened at the next regular meeting . A vote will be taken and the consenting nominee shall take office immediately.
Article VI
Meetings
Section 6.1 Regular Meetings. The regular meeting of the general membership will be held monthly on the first Tuesday of the month, or at the discretion of the majority of members.
Section 6.2 The President will preside over all meetings, recognizing members and guests, and will conduct the business of the Club according to Roberts' Rules of Order, Revised.
Section 6.3 The Executive Committee shall meet on the second Tuesday after the meeting of the general membership, or as set by the President.
Article VII
Dissolution
No person, firm or corporation shall ever receive any dividends or profits from the undertaking of this nonprofit organization and upon dissolution of this organization, all of its assets remaining after paying all costs and expenses will be distributed to organizations which have qualified under Section 501(C)(3) of the Internal Revenue Code.
Article VIII
Amendments
The Bylaws of this nonprofit organization may be amended by the Executive Committee only after approval of the majority of voting members attending a regular meeting. Such proposed amendments shall be published at least thirty (30) days prior to submission for approval.
